Logibec Groupe Informatique Ltee (T.LGI) hit a new 52-week high of $25.79; Logibec Groupe Informatique Ltee announced today that following a confidential strategic review process initiated in the summer of 2009, it has entered into a definitive agreement for its privatization by OPE LGI Inc., by way of a takeover bid. OPE LGI Inc. is a new acquisition company established by OMERS Private Equity Inc., the private equity arm of OMERS Worldwide group of companies, and in which Societe generale de financement du Quebec has agreed to make a minority equity commitment.
SGF has also entered into an agreement with OPE LGI Inc. pursuant to which SGF has agreed, among other things, to tender its Logibec shares (representing approximately 5.4% of the outstanding shares of the Company or 490,000 shares) under the Bid, subject to its right to terminate the agreement in certain circumstances, including the termination of the Support Agreement. The Bid is supported by fully committed senior debt financing from National Bank of Canada. Solidarity Fund QFL will be participating as subordinated debt provider. All amounts are in Canadian dollars.
