Upon completion, the Transaction will constitute an arm's length reverse takeover of the Company by Realgold in accordance with Policy 5.2 of the TSX Venture Exchange, with the resulting company to be renamed "Realgold Resources Corp." or such other name as the parties may reasonably agree upon and as is acceptable to the TSXV and the corporate registrar.
