11:37 AM EST - PRT Growing Services Ltd. : and Mill Road Capital, L.P. have entered into a definitive agreement pursuant to which an entity controlled by Mill Road will acquire all of the issued and outstanding common shares of PRT for $4.45 in cash in respect of each common share. The transaction represents a premium of 27.1% to PRT's closing trading price of $3.50 on the TSX on November 1, 2012, a 26.5% premium based on the volume weighted average trading price of PRT shares on the TSX for the 20 prior trading days and a 34.2% premium based on the volume weighted average trading price for the 90 prior trading days.
