The net proceeds of the offering are expected to be used (i) to finance the redemption of all of the outstanding 6.875% Senior Notes due 2018 issued by the Company's wholly-owned subsidiary, Valeant Pharmaceuticals International, (ii) to repay all or a portion of the amounts drawn under the Company's revolving credit facility, and (iii) for general corporate purposes, including acquisitions.
