09:43 AM EST - Questfire Energy Corp. : and Manitok Energy announced that on July 5, they have entered into a definitive agreement providing for the acquisition by Manitok of all the issued and outstanding common shares of Questfire pursuant to a plan of arrangement under the Business Corporations Act (Alberta). In addition, Manitok is in the final stages of negotiating a new credit facility with a syndicate of lenders in connection with obtaining a new $132.2-million credit facility consisting of a $117.2-million senior secured term facility with a $15-million delayed draw acquisition facility to finance the Acquisition. Manitok intends to close the Credit Facility concurrently with the Acquisition. Questfire Energy Corp.
