10:31 AM EST - Dover Industries Ltd. : announced a definitive agreement with privately-held Parrish & Heimbecker, Ltd., in which P&H will indirectly acquire all of the outstanding common shares of Dover that it does not own for $19.25 per share in cash. P&H currently owns 25% of the outstanding common shares of Dover. This represents a 39% premium to the closing price of its common shares on the Toronto Stock Exchange on December 4.
