09:45 AM EST - Ares Strategic Mining Inc : Announces that it has entered into an arrangement agreement with its wholly-owned subsidiary, Enyo Strategic Mining Inc, pursuant to which the Company intends to: transfer all of its right, title and interest in and to its Liard property and Vanadium Ridge property located in British Columbia, Canada, and spin-out all of the securities of Enyo received in consideration for the Spinout Properties to Ares’s shareholder on a pro rata basis, all pursuant under section 182 of the Business Corporations Act. The Arrangement will result in Enyo becoming a separate unlisted “reporting issuer” in each of British Columbia, Alberta, Saskatchewan, Manitoba, Ontario, Nova Scotia, New Brunswick, Prince Edward Island and Newfoundland and Labrador, and will allow it to focus on the development of the Spinout Properties.
