09:54 AM EST - Alliance Grain Traders Income Fund : said that its unit, Alliance Grain Traders Inc., has agreed to acquire the Arbel Group Companies. The acquisition is expected to be completed on or about August 27, subject to a number of conditions. The acquisition agreements supersede the previously announced non-binding letter of intent the Fund entered into with the principal shareholders of the Arbel Group Companies. Under the acquisition agreements, AGTI will acquire the Arbel Group Companies for an aggregate purchase price of $104.14 million, of which $60.10 million will be paid in cash and $44.04 million will be paid by the issuance of 2.85 million common shares of AGTI at a deemed price of $15.4514 per common share.
