09:44 AM EST - SKANA Capital Corp. : announced that it has entered into a definitive agreement with Sun River Energy Inc. Sun River has agreed to purchase from SKANA 100% of the outstanding common shares of Raven Wing Resources Inc. for the all-cash purchase price of $3.5 million U.S. Raven Wing Resources is a wholly-owned subsidiary of SKANA, and is the holder of five oil and gas exploration properties located in Montana, Wyoming and Utah. Sun River has paid to SKANA a deposit of $50,000 U.S., that becomes non-refundable upon completion of due diligence by no later than January 15, 2010. Subject to satisfactory due diligence, the purchase is to be completed on or before January 31, 2010 by payment to SKANA of the balance of the purchase price of $3.45 million U.S. against conveyance of the shares of Raven Wing to Sun River.
