Pursuant to the Offering, Appili will issue 50,000,000 units of the Company at a price of $0.09 per Unit for gross proceeds of $4,500,000. Each Unit is comprised of one Class A common share of the Company and one-half of one Common Share purchase warrant. Each Warrant is exercisable at a price of $0.15 and entitles the holder thereof to acquire one Common Share for a period of five years following the date of the closing of the Offering.
