09:13 AM EST - Northstar Clean Technologies Inc. : Northstar Clean Technologies and Renewable U Energy Inc. announced that they have entered into a binding term sheet for a strategic financing of debt and securities, including common shares in the capital of the Company and secured convertible debentures for Northstar's proposed Phase 1 plan of building and constructing three scale-up asphalt shingle reprocessing facilities in Calgary, and, as presently intended, both the greater Toronto area and the Pacific Northwest, USA. The Transaction includes a non-brokered private placement of $1.95 million to Renewable U of up to 4,875,000 Common Shares. The Private Placement to Renewable U will be conducted in tranches over a period of six months from October 2022 to March 2023 at a price equal to the greater of $0.40 and the market price of the Common Shares, less the maximum allowable discount under the policies of the TSX Venture Exchange.
